These Terms of Service ("Terms") govern your access to and use of Jarsen ("Jarsen," "we," "us," or "our"), including our website, application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. If you are under 18, you confirm you have permission from a parent or legal guardian, or that you meet any applicable exception under local law. If you are using the Service on behalf of a school, program, or organization, you confirm you have authority to accept these Terms on its behalf.

2. The Service

Jarsen provides AI-powered guidance intended to help student founders move from being stuck to actually building — through structured questioning, feedback, and related tools (the "Service"). The Service is a decision-support and productivity tool, not a substitute for professional legal, financial, tax, or investment advice.

3. AI-Generated Content Disclaimer

  • The Service uses artificial intelligence, including large language models provided by third parties (e.g., Anthropic and/or OpenAI), to generate responses, suggestions, and guidance ("AI Outputs").
  • AI Outputs may be incomplete, inaccurate, outdated, or wrong. AI models can "hallucinate" — state things confidently that are false. You are responsible for independently verifying any AI Output before relying on it, especially for decisions involving money, legal obligations, contracts, hiring, or regulatory compliance.
  • AI Outputs do not constitute legal, financial, tax, medical, or investment advice, and do not create any professional relationship (e.g., attorney-client, accountant-client) between you and Jarsen.
  • We do not guarantee that AI Outputs are original, non-infringing, or free of bias. AI models can reflect biases present in their training data.
  • You should not submit confidential, sensitive, or proprietary information you're not comfortable having processed by third-party AI providers (see our Privacy Policy, Section 4, for how this data is handled).
  • We may modify, restrict, or discontinue AI features at any time without notice.

4. Accounts

  • You must provide accurate information when creating an account and keep your login credentials secure.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at willjoacimly1@gmail.com if you suspect unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any applicable law or regulation
  • Attempt to reverse-engineer, decompile, or extract the underlying models or source code of the Service
  • Use the Service to generate content that is illegal, defamatory, harassing, hateful, or infringing on others' rights
  • Attempt to circumvent usage limits, rate limits, or security measures
  • Use automated means (bots, scrapers) to access the Service without our written permission
  • Resell, sublicense, or provide access to the Service to third parties without authorization
  • Use the Service to build a directly competing product by systematically extracting our prompts, outputs, or methodology

We reserve the right to suspend or terminate access for violations of this section.

6. User Content and Ownership

  • Your content: You retain ownership of any content you submit to the Service (ideas, documents, prompts) ("User Content"). You grant Jarsen a limited license to use, process, and store User Content solely to operate and improve the Service.
  • AI Outputs: Subject to the disclaimers in Section 3, you may generally use AI Outputs generated for you, to the extent permitted by our agreements with our AI providers and applicable law. We make no guarantee that AI Outputs are free of third-party rights, and you're responsible for how you use them.
  • Our content: The Service itself — including its design, branding, and non-AI-generated content — is owned by Jarsen and protected by intellectual property law. These Terms do not grant you any rights to our trademarks or branding.

7. Subscriptions and Payment

  • Certain features may require a paid subscription. Pricing will be displayed at the time of purchase.
  • Subscriptions auto-renew unless canceled before the renewal date.
  • All sales are final
  • We may change pricing with 30 days' notice to existing subscribers.

8. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access if you violate these Terms, pose a security risk, or for any other reason with reasonable notice, except where immediate termination is necessary to protect the Service or other users.
  • Upon termination, your right to use the Service ends immediately; certain provisions (e.g., ownership, disclaimers, limitation of liability) survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JARSEN AND ITS FOUNDERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON AI OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 DOLLARS.

11. Indemnification

You agree to indemnify and hold Jarsen harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service.

12. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Vietnam, unless otherwise required by applicable consumer protection law.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. We'll notify you of material changes by posting an update here and revising the "Last Updated" date, and, where required, by additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jarsen regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver: Our failure to enforce any right or provision is not a waiver of that right.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
